1. Acceptance of Terms
By accessing or using any services provided by Apex Universal Logistics (“we”, “our”, or “us”), including transportation, freight forwarding, customs clearance, warehousing, or related logistics solutions, you (“the Client”, “Customer”) agree to be bound by these Terms and Conditions.
2. Services Offered
Apex Universal Logistics offers the following services:
- Local and international freight forwarding
- Sea, air, rail, and road cargo transportation
- Multimodal shipping solutions
- Customs clearance and brokerage
- Warehousing and inventory management
- Express courier and last-mile delivery
Services are subject to availability and may be modified or discontinued without prior notice.
3. Quotations and Pricing
- All quotations are based on current tariffs, carrier rates, fuel costs, taxes, and exchange rates.
- Quotes are valid for 14 days unless otherwise specified.
- Final charges may vary based on actual weight, volume, customs duties, or unforeseen circumstances.
- Apex Universal Logistics reserves the right to revise pricing for services not yet contracted.
4. Payment Terms
- Full payment is required before cargo is released or delivered unless credit terms are pre-approved in writing.
- Overdue accounts attract interest at 2% per month.
- We reserve the right to withhold shipments or services due to outstanding payments.
5. Client Responsibilities
The client agrees to:
- Provide accurate information regarding goods including value, weight, dimensions, and classification.
- Ensure proper packaging and labeling of cargo.
- Comply with all export/import regulations and international trade laws.
- Cover additional costs arising from incorrect or incomplete documentation.
6. Liability and Insurance
Apex Universal Logistics is not liable for loss, delay, or damage unless caused by gross negligence or intentional misconduct.
Liability is limited to the lesser of:
- USD 100 per shipment, or
- USD 2 per kilogram of affected goods
Clients are strongly advised to purchase insurance for full cargo value. Insurance is arranged only upon written request and confirmed payment.
7. Force Majeure
We shall not be liable for delays or failure in performance due to circumstances beyond our control, including:
- Natural disasters
- Government restrictions
- Labor strikes
- War or civil unrest
- Customs delays or port congestion
8. Dangerous or Prohibited Goods
- Dangerous goods must be declared and packed according to international regulations.
- Prohibited items (e.g., firearms, narcotics, counterfeit goods) are not accepted.
- Undeclared dangerous goods may result in service cancellation, legal liability, or cargo seizure.
9. Customs and Regulatory Compliance
The client remains solely responsible for customs duties, taxes, permits, and regulatory compliance. We may act as an agent to facilitate clearance but do not assume liability for customs delays or penalties.
10. Claims and Complaints
- Claims must be submitted in writing within 7 days of delivery (or expected delivery).
- Supporting documents such as invoices, delivery notes, and photographs may be required.
- Claims will be reviewed within 14 business days.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with applicable international commercial and transport laws. Any disputes shall be subject to the appropriate jurisdiction as agreed between both parties.
12. Amendments
Apex Universal Logistics reserves the right to update or modify these Terms at any time. Updates will be posted on our website and become effective immediately upon publication.
